SMS-SOLAR-OFFER-2026-10 · 2026-10-03
There is no previous version. A new version does not change a contract already made.
This is the public offer of SOLAR MULTI SERVICE LLC for the sale, delivery, and installation of a photovoltaic solar system.
Price, capacity, site address, and payment terms are individual and are set only in the contract. The website calculator, advertising, and a phone call do not create a contract.
This text is a public offer under the civil legislation of the Republic of Armenia. It is addressed to an indefinite number of persons and states the Supplier’s willingness to contract with anyone who accepts it in the manner set out here.
The Supplier is SOLAR MULTI SERVICE LLC. The Customer is the person who accepts the offer. These general terms and the individual contract (number, address, capacity, price, and payment) together form the sale and installation contract.
Version SMS-SOLAR-OFFER-2026-10, published on 2026-10-03. The text is drawn from the standard terms of the company’s current sale and installation contract. Terms have the meaning given in section 2.
2.1. The following definitions apply in these terms. The Civil Code of the Republic of Armenia governs. The Armenian text prevails.
«Public offer»՝ a proposal that contains the essential terms and shows the proposer’s will to contract with anyone who responds (Article 453, paragraph 2). Price, capacity, address, and payment are written in the contract. Without every essential term the contract is not made (Article 448).
«Invitation to make an offer»՝ advertising, the website calculator, a quote request, and a phone call. They do not create a contract unless the proposal expressly says otherwise (Article 453, paragraph 1).
«Acceptance»՝ a full and unconditional acceptance of the offer (Article 454). Silence is not acceptance. Signing the contract, written agreement, or paying the stated amount is acceptance. A reply on different terms is a new offer (Article 459).
«Contract»՝ an agreement of two or more persons to establish, change, or end civil rights and duties (Article 436). Here it is these terms together with the signed individual contract.
«Mixed contract»՝ a contract that contains elements of sale (Article 470) and of work (Article 700): the equipment is sold and the installation is performed as work (Article 437, paragraph 3).
«Advance»՝ the part of the price paid before work starts. It is not earnest money under Article 395 unless the contract expressly calls that sum earnest money.
«Warranty»՝ the duty to supply goods and a work result that meet the quality terms throughout the warranty period (Articles 486 and 720). The period runs from the handover act. The Supplier is not liable for the effect of changes to laws, other legislative acts, or decisions of public authorities that change the warranty’s duration, scope, or conditions.
«Penalty»՝ a sum fixed by law or contract for non-performance or improper performance, including delay. The creditor need not prove loss (Article 369). Article 372 sets the maximum and allows reduction of a clearly disproportionate penalty.
«Force majeure»՝ circumstances that are extraordinary and unavoidable in the given conditions (Article 417, paragraph 3). A counterparty’s breach, lack of goods on the market, and lack of one’s own money are not force majeure.
«Time period»՝ counted under Articles 326–329. A period starts on the day after the day that fixes its beginning. If the last day is not a business day, the period ends on the next business day (Article 329).
The Supplier sells, delivers, and installs a photovoltaic system of the capacity and at the address stated in the contract. The Customer provides the conditions for installation, accepts the system, and pays the contract price.
The work includes a site review, supply and installation of components, mounting, testing, and commissioning, in line with Armenian construction and safety rules. The Supplier may use a subcontractor and may replace equipment with equivalent or better equipment after agreeing this with the Customer. Surplus materials remain the Supplier’s property.
After the contract is made, the review may reveal obstacles such as an inadequate roof structure, covering, or area, new shading, or cables. The Supplier then gives written notice and a cost estimate for work outside the contract price.
Delivery and installation start after the payment required by the contract and the Customer’s written notice that the preconditions are met. The work is completed within 20 business days, unless the Customer, extra work, or force majeure causes the delay.
The Customer provides access, a ready site within 3 business days, 220 V 50 Hz power and water if needed, and safekeeping of materials until handover.
Before work starts, the Customer obtains, at the Customer’s cost, technical conditions and an interchange agreement from Electric Networks of Armenia, a bidirectional meter, suitable connection parameters, and internet for monitoring, and gives the Supplier written notice.
The warranty runs from the handover act: panels 30 years, converter 15 years, battery 5 years (6000 cycles), free service 15 years. A manufacturing or installation defect is repaired at the Supplier’s cost within 15 business days.
The warranty does not cover misuse, mechanical damage, changes or unauthorized repair, welding near the system, force majeure, voltage outside the equipment limits, or damaged factory markings.
The Supplier is not liable for the effect of changes to laws, other legislative acts, or decisions of public authorities that change the warranty’s duration, scope, or conditions. Such a change is not a breach of the Supplier’s duty.
If the Customer, without the Supplier’s written consent, connects a battery of another manufacturer to the Supplier’s hybrid converter, every warranty on the system ends at that moment. Any later inspection, repair, or service is chargeable.
The annual yield in the contract is an estimate. Actual yield may vary by up to +/- 10%. The Supplier is not liable for a shortfall caused by weather, dirty panels, shading that appears later, or grid voltage events.
The contract price does not include extra structures or work. Within 5 business days of notice, the Customer removes the obstacle or pays the estimate. Otherwise the Supplier may suspend the work and the 20-day period is extended.
Acceptance is recorded in a two-party handover act. If the Customer does not give a reasoned refusal within 5 business days, the work is accepted. A delay by the grid operator does not delay the act when the Supplier’s work is proper. Risk passes on the act. Title passes on full payment.
Price and the payment option (full payment, advance and balance, or bank financing) are set only in the contract. A calculator figure is not the price until it is written in the signed contract. The advance is paid first, before delivery and installation, and is credited to the price. The balance is paid when the handover act is signed.
Late payment may incur 0.1% of the overdue amount per calendar day, capped at 10% of the price. Supplier delay may incur 0.05% of the unfinished work per day, capped at 5% of the price. A penalty does not release the underlying duty.
A party is released from liability for force majeure arising after the contract. If it lasts more than 2 months, either party may end the contract by written notice, with a settlement for work already done. Disputes are first negotiated, then resolved under Armenian law.
The calculator, a quote request, advertising, and a phone call are invitations to negotiate. They are not acceptance.
A contract is formed when the individual essential terms exist and the Customer accepts the offer by signing the contract, by written agreement to this offer and that contract, or by paying the stated amount. Bank-financed projects are signed as a contract that refers to this version.
A new version does not change a contract already made. The contract lasts until the duties are fully performed. The Armenian text prevails. Changes require a written amendment.
The contract is printed on one page from the confirmed calculation and contains:
